Sun Microsystems and Oracle Corporation announced today they have entered into an agreement under which Oracle will acquire Sun. The transaction is valued at approximately $7.4 billion, with Oracle purchasing Sun stock with cash for $9.50 per share, a premium of nearly $3 per share over previous market value. Sun's stock (JAVA) jumped nearly 33% after news of the purchase was released. Larry Ellison, Oracle's chief executive, described Java as "the single most important software asset we have ever acquired." By purchasing Sun, Oracle is elevated into the ranks of Dell, HP and IBM, giving them the ability to sell hardware as well as more fully exploit some important Sun software.

Date set for Sun stockholders to vote on Oracle merger

Sun Microsystems has announced that a special meeting of it's Board of Directors has approved a July 16, 2009 date for a special stockholder meeting to vote on the adoption of the proposed merger agreement with Oracle Corporation. On April 20, 2009, the companies jointly announced the merger. The transaction is valued at approximately $7.4 billion USD, with Oracle purchasing Sun stock with cash for $9.50 per share, a premium of nearly $3 per share over previous market value. Sun's Board of Directors had already unanimously approved the transaction and it is anticipated to close this summer, subject to this stockholder vote and regulatory approval.

Sun announced just six weeks ago it would spend $1 billion -- $800 million in cash and $200 million in assumed options -- to purchase the open source database company. Sun seeks to build world's biggest App Store around Java

Sun Microsystems plans to launch an App Store that could make Apple's look smaller than a 7-Eleven by comparison.



The server vendor hopes to increase sales and drive more business via the Java App Store, Sun CEO Jonathan Schwartz wrote on his blog Monday. Sun is in the process of being acquired by Oracle, which has expressed a strong interest in Sun's Java technology.

Another Amazon 'cloud' database is on the horizon

EnterpriseDB Inc. plans in March to start beta-testing an online version of its Oracle-compatible database that will leverage Amazon.com Inc.'s Web-based computing and storage services.



The EnterpriseDB Advanced Server Cloud Edition will be much more powerful than the SimpleDB Web database that Amazon itself plans to offer, claimed Bob Zurek, the Edison, N.J.-based software vendor's chief technology officer.



Zurek added that EnterpriseDB, which bases its commercially licensed software on the open-source PostgreSQL database, will offer a new pricing model designed to help it compete with Oracle Corp.'s databases as well as the MySQL open-source technology that Sun Microsystems Inc. recently agreed to buy.

Dell to offer Sun software in servers

Dell Inc. has agreed to install Sun Microsystems Inc.'s Solaris operating system in some of its servers, the companies announced Wednesday, signaling Sun's latest truce with a former rival.



The chief executives of both companies announced the multiyear partnership together on stage at the Oracle OpenWorld conference in San Francisco. Financial terms of the deal were not disclosed.



Dell and Sun make servers that compete with each other. Sun commands 13 percent of the worldwide server market, while Dell commands about 12 percent, according to the latest data from market research firm IDC.



While Sun risks losing server sales to Dell because of the partnership, it stands to increase adoption of its open-source software products, and that could mean a substantial boost in revenue from related support services.
